Terms of Service

These Terms of Service ("Terms") form a binding agreement between Tajergo A I Technologies - L.L.C - S.P.C, a company licensed in Abu Dhabi, United Arab Emirates under Economic Licence (Abu Dhabi Trader), Trade Licence Number CN-6586094 ("TajerGo", "we", "us", "our"), and the business entity that subscribes to the TajerGo platform ("Merchant", "you", "your").

By creating an account, accessing the platform, or using any TajerGo service, you confirm that you are authorised to bind the Merchant entity and that you accept these Terms in full. If you do not accept them, do not use the platform.


1. Definitions

  • "Platform" - the TajerGo software-as-a-service product, including the admin dashboard, point-of-sale terminal, mobile applications, APIs, and any AI-driven features such as Morning Briefing, Business DNA, Customer DNA, Ghost Inventory, Break-Even Clock, and Tajer Coach.
  • "Subscription" - your paid right to access the Platform during the term you have purchased.
  • "Merchant Data" - all data you, your staff, or your customers submit to or generate on the Platform, including transaction records, inventory records, customer records, and supplier invoices.
  • "End Customer" - any individual or entity that transacts with you through the Platform.
  • "Authorised User" - an employee, contractor, or agent of the Merchant whom you authorise to access the Platform under your account.
  • "Order Form" - the online checkout, signed quotation, or written agreement that records the Subscription tier, fees, and term.

2. Eligibility and account

You may use the Platform only if you are a legally registered business in the United Arab Emirates or another jurisdiction we expressly support, and only for lawful commercial activity.

You must provide accurate registration information, keep it current, and verify the email address used to open the account. We may refuse, suspend, or terminate any account that fails verification, fails KYC checks, or appears to belong to a sanctioned party.

You are responsible for every action taken under your account, including by any Authorised User. You must keep credentials confidential, enable multi-factor authentication where the Platform offers it, and notify us immediately of any suspected compromise.


3. Subscription, fees, and taxes

The Subscription tier, fees, billing cycle, and term are recorded on your Order Form. Fees are payable in AED unless the Order Form states otherwise. Fees are non-refundable except where these Terms expressly provide otherwise or where UAE law requires a refund.

We may revise fees at the start of any renewal term by giving you at least thirty (30) days' prior written notice. If you do not accept the new fees, you may decline renewal before the renewal date.

All fees are exclusive of UAE Value Added Tax. VAT is charged in accordance with Federal Decree-Law No. 8 of 2017 on Value Added Tax and is added to your invoice at the prevailing rate. If withholding tax applies in your jurisdiction, you bear that cost; the amount payable to TajerGo is grossed up so we receive the full invoiced amount.

Late payment accrues interest at 1.5% per month or the maximum rate permitted by UAE law, whichever is lower. We may suspend access if any invoice is more than fourteen (14) days overdue.


4. Term, renewal, and termination

The initial term and renewal terms are stated on your Order Form. Subscriptions renew automatically for successive terms of the same length unless either party gives written notice of non-renewal at least thirty (30) days before the renewal date.

Either party may terminate for material breach if the breach is not cured within fifteen (15) days of written notice. We may terminate immediately, without notice, if you become insolvent, enter liquidation, breach Section 6 (Acceptable Use), or use the Platform to violate UAE law.

On termination, your right to access the Platform ends. We will make Merchant Data available for export in a machine-readable format for thirty (30) days after termination. After that period, we may delete Merchant Data in accordance with our retention policy and Section 11 (Data) below.


5. Service availability

We target a monthly uptime of 99.5% for the production Platform, measured excluding scheduled maintenance windows and force majeure events. Any service credits or enhanced SLA terms apply only where they are expressly set out in a signed Order Form or written subscription agreement.

We may carry out scheduled maintenance with prior notice. We may carry out emergency maintenance without notice where required to protect security, integrity, or availability.


6. Acceptable use

You and your Authorised Users must not:

(a) use the Platform to store, transmit, or process content that is unlawful under UAE federal law, including content prohibited by Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes;

(b) attempt to reverse-engineer, decompile, or derive source code from the Platform;

(c) bypass rate limits, authentication, or other security controls;

(d) upload malware, run penetration tests without our written consent, or interfere with another Merchant's Business Account;

(e) resell, sublicense, or white-label the Platform without a separate written agreement;

(f) use the Platform to send unsolicited commercial communications in breach of UAE telecom regulations;

(g) use the AI features to generate content that violates third-party rights or that misrepresents AI-generated output as human-authored where law requires disclosure;

(h) use the Platform in any manner that breaches export controls or sanctions imposed by the UAE, the United Nations, or any jurisdiction with proper authority over your operations.

We may suspend access immediately if we reasonably suspect a breach of this section.


7. Authorised Users and Business Account boundary

You manage your own users and roles within your Business Account. You are responsible for assigning the correct role and capabilities to each Authorised User and for revoking access when an Authorised User leaves your business.

The Platform uses an isolated multi-customer architecture. Your Merchant Data is logically isolated from every other Merchant's data. Access to your Business Account is restricted to your Authorised Users and to TajerGo personnel who require access to operate, support, or audit the Platform under written confidentiality obligations.


8. Intellectual property

We own all rights, title, and interest in the Platform, including all software, databases, AI models, model weights, prompts, designs, trademarks, and documentation. Your Subscription grants you a non-exclusive, non-transferable, revocable right to access and use the Platform during the term, solely for your internal business operations.

You own all rights, title, and interest in Merchant Data. You grant us a limited, worldwide, royalty-free licence to host, process, transmit, display, and back up Merchant Data solely to provide and improve the Platform, to comply with law, and to enforce these Terms.

Feedback you give us about the Platform is non-confidential. We may use it without restriction or compensation to you.


9. Payments and card data

The Platform integrates with regulated payment processors for card and digital wallet transactions. TajerGo does not store cardholder data. Card data is captured by the processor and exchanged for a tokenised reference. All card transactions are subject to the processor's own terms.

You are responsible for your own merchant agreement with the payment processor, for chargebacks, and for any fees levied by the processor or your acquiring bank.


10. Khata (credit ledger), refunds, and tax records

The Khata module records credit extended by you to your End Customers. The legal relationship for such credit is between you and the End Customer; TajerGo is not a party to it and is not a financier, lender, or guarantor.

You are responsible for issuing tax-compliant invoices, recording refunds correctly, and retaining transaction records as required by UAE Federal Tax Authority rules. The Platform provides the tools to do so; the legal duty rests with you.


11. Data, privacy, and security

Our processing of personal data is governed by the TajerGo Privacy Policy, which forms part of these Terms. Where you input personal data of End Customers or staff into the Platform, you act as the Controller and TajerGo acts as the Processor for the purposes of GDPR and the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021). The Data Processing Addendum sets out the processor terms.

We apply the security controls described in our public security overview, including TLS in transit, encryption at rest for sensitive PII, role-based access control, audit logging, and incident response. You are responsible for the security of your own devices, networks, and credentials.

We notify you of any confirmed personal data breach affecting your Business Account without undue delay and in any event within seventy-two (72) hours of discovery, with the information required to meet your own notification duties.


12. AI features

The Platform includes AI-driven analytics and recommendations powered by third-party large language models. Outputs are advisory only. They may be inaccurate, incomplete, or out of date. You are solely responsible for any business, financial, tax, employment, or legal decision you make using AI output. We do not warrant that any AI output is fit for a particular decision and we accept no liability for losses arising from your reliance on AI output.

We do not use your Merchant Data to train foundation models. Where AI features rely on a third-party model provider, that provider acts as a sub-processor under the DPA.


13. Confidentiality

Each party will keep the other's confidential information confidential and use it only to perform under these Terms. Confidential information does not include information that is public, already known without restriction, independently developed, or required to be disclosed by law or regulator. Disclosure compelled by law must be notified to the other party in advance where lawful to do so.


14. Warranties and disclaimer

We warrant that the Platform will perform substantially in accordance with its published documentation during your Subscription. Your sole remedy for breach of this warranty is for us to use commercially reasonable efforts to correct the defect; if we cannot do so within a reasonable period, you may terminate the affected Subscription and receive a pro-rated refund of unused fees.

To the maximum extent permitted by UAE law, all other warranties, conditions, and representations, whether express, implied, statutory, or otherwise, are excluded. The Platform is provided "as is" and "as available".


15. Indemnity

You will defend and indemnify TajerGo against third-party claims arising from (a) your breach of Section 6 (Acceptable Use), (b) your breach of law in your use of the Platform, (c) Merchant Data that infringes third-party rights, or (d) any dispute between you and an End Customer, supplier, employee, or tax authority.

We will defend and indemnify you against any third-party claim that the Platform, when used in accordance with these Terms, infringes the intellectual property rights of that third party. Our duty does not apply where the claim arises from Merchant Data, your modifications, or your combination of the Platform with other software we did not provide.


16. Limitation of liability

To the maximum extent permitted by UAE law:

(a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, goodwill, anticipated savings, or data (other than loss of Merchant Data caused by our gross negligence);

(b) each party's aggregate liability under or in connection with these Terms is capped at the fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim;

(c) nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, death, personal injury, or any liability that cannot be limited under UAE law.


17. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disaster, war, civil unrest, government action, internet or power outage, cyber attack, pandemic, or third-party infrastructure failure. The affected party must notify the other promptly and use reasonable efforts to mitigate.


18. Anti-corruption and sanctions

Each party will comply with UAE Federal Decree-Law No. 31 of 2021 (Crimes and Penalties Law) and any applicable anti-bribery laws. Neither party will offer, give, or accept any improper payment in connection with these Terms.

You confirm that you and your beneficial owners are not on any UAE, UN Security Council, EU, UK, or US sanctions list. If that changes, you must notify us at once and we may suspend or terminate immediately.


19. Suspension

We may suspend access where (a) you breach Section 6, (b) we have a reasonable security or fraud concern, (c) a payment is overdue, or (d) we are required to do so by a competent authority. We will restore access as soon as the cause is resolved, except where law or regulator forbids it.


20. Changes to these Terms

We may update these Terms from time to time. Material changes take effect thirty (30) days after we post them or notify you. Continued use after that date is acceptance. If you do not accept a material change, you may terminate before it takes effect and receive a pro-rated refund of unused fees.


21. Notices

Notices to TajerGo must be sent to [email protected]. Where law requires physical notice, the notice must be sent to the registered or correspondence address that TajerGo confirms in writing for that purpose. Notices to you are sent to the email and address on your account. Email notices are deemed received on the next business day.


22. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, restructuring, or sale of substantially all of our assets, on prior written notice to you.


23. Electronic contracting

You agree that these Terms, the Order Form, and any amendment may be executed and accepted electronically, and that electronic signatures and click-through acceptance are valid and enforceable under UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.


24. Governing law and jurisdiction

These Terms are governed by the federal law of the United Arab Emirates and, where applicable, the law of the Emirate of Abu Dhabi. The parties submit to the exclusive jurisdiction of the courts of Abu Dhabi, save that we may seek injunctive or interim relief in any court of competent jurisdiction to protect our intellectual property or confidential information.


25. Entire agreement; severability; no waiver

These Terms, the Order Form, the Privacy Policy, and the Data Processing Addendum are the entire agreement between the parties on the subject and replace any prior agreement on the same subject. If any clause is held unenforceable, the remainder stays in effect. A waiver of any breach is not a waiver of any later breach.
